1. Agreement to Terms

These Terms of Service (“Terms”) govern access to and use of the website netgatedevelopers.com and software products offered by Netgate Developers Inc. (“Netgate Developers Inc.”, “we”, “us”, or “our”). By using this website or our apps, you agree to these Terms.

Netgate Developers Inc. develops and publishes software products, including iOS and Android applications, and may provide related support through this website. Product features, availability, and store listings may change as we prepare and release new versions.

Website content is for general information and does not create a binding commercial offer unless confirmed in a separate written agreement.

4. Separate Written Agreements

If Netgate Developers Inc. enters into a separate written agreement for custom software work or other services, that agreement’s terms control for the scoped work. In the absence of such an agreement, these Terms and any applicable app store terms govern use of our website and published apps.

5. Software Licensing

Apps published by Netgate Developers Inc. are licensed to end users under the applicable App Store or Google Play terms and any in-app license notice. You receive a limited, non-exclusive, non-transferable license to use the app as permitted by those terms.

For any custom work covered by a separate written agreement, licensing and assignment of deliverables are defined in that agreement. Pre-existing tools, frameworks, templates, and know-how of Netgate Developers Inc. remain our property (or our licensors’ property). Open-source components remain subject to their respective licenses.

6. Intellectual Property Ownership

Website and branding. The netgatedevelopers.com website, branding, and marketing content are owned by Netgate Developers Inc. and may not be copied or reused without prior written consent, except as permitted by law.

Apps and software. Subject to app store licenses and any separate written agreement, Netgate Developers Inc. retains ownership of its software, designs, and related intellectual property.

Your content. If you submit content or feedback to us, you grant Netgate Developers Inc. a limited license to use it to operate and improve our products and to respond to your request.

7. App Store Accounts & Compliance

Netgate Developers Inc. is responsible for apps it publishes under its developer accounts. Apple and Google decide whether an app is approved. Users remain responsible for complying with platform terms when installing and using our apps.

8. Warranties & Disclaimers

Except as required by law or expressly stated in a separate written agreement, the website and apps are provided “as is” without warranties of uninterrupted availability, fitness for a particular purpose, or non-infringement of third-party rights beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Netgate Developers Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities. Our aggregate liability arising out of website or app use shall not exceed the greater of (a) the amounts you paid to Netgate Developers Inc. for the product or service giving rise to the claim in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100), unless a separate written agreement specifies a different cap.

10. Confidentiality

Each party agrees to protect the other’s non-public information using reasonable care and to use such information only as needed to operate the website or apps or to respond to inquiries, except where disclosure is required by law.

11. Acceptable Use of Website

You may not misuse this website, attempt unauthorized access to systems, scrape content in a manner that impairs service, transmit malware, or use the site for unlawful purposes. We may suspend access that threatens the security or integrity of our systems.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Courts located in Ontario shall have exclusive jurisdiction, except where mandatory consumer protections provide otherwise.

13. Changes

Netgate Developers Inc. may update these Terms from time to time. The “Last updated” date indicates the latest revision. Continued use of the website or apps after changes take effect constitutes acceptance of the updated Terms, except where a separate written agreement requires mutual consent for material changes.
